Purpose of Position

The Paralegal will be an integral member of Pantheon’s Private Equity Primaries & Co-investment team, focussing on transaction structuring and execution. The successful applicant will coordinate all aspects of the execution of Pantheon’s transactions including managing negotiations of legal documents with external counsel and counterparties, tax structuring with tax counsel and Pantheon’s internal tax team, and coordinating with Pantheon’s legal, operations and finance teams to ensure to ensure that processes are followed and executed in a timely and accurate manner.

We expect this position will be attractive to someone with a legal background, who is interested in moving to a more commercial role with a wider interest in private equity investments.

Key Responsibilities:

  • Leading the execution of Private Equity Primaries and Co-investments alongside Pantheon’s investment team.
  • Leading the negotiation of all legal documents governing Pantheon transactions, including transaction documents such as limited partnership agreements, equity commitment letters and side letters, with the assistance of external counsel.
  • Executing sales of fund interests (on a portfolio and single-fund basis).
  • Structuring investments to accommodate the tax characteristics of all participating Pantheon clients and working with the investment team, Pantheon’s internal tax team and external advisers to minimize tax leakage through the structure.
  • Setting up and managing SPVs as needed for transactions.
  • Managing external legal and tax advisers.
  • Oversee ancillary tasks ensuring that:
    • all relevant internal approvals have been received for closing the investment, legal and AML checklists have been signed off and investment restriction checks have been completed on behalf of underlying clients;
    • closing notices are completed accurately and on time;
    • operations and finance teams are notified of all relevant information in an accurate and timely manner;
    • money transfers are completed accurately and on time for successful closings.
  • Working with Pantheon’s operations, treasury, finance, tax, legal and other back-office functions to continually improve Pantheon’s investment processes.
  • Ensure compliance with relevant laws, regulations and Pantheon policy (including reporting compliance risks and maintaining appropriate standards of conduct).

Knowledge & Experience Required

  • Prior experience in a law firm or in-house environment of executing private markets transactions and/or fund investments including primary fund investments and co-investments.
  • Prior experience of negotiating transaction documents including limited partnership agreements, side letters and equity commitment letters.
  • Prior experience of the tax structuring and regulation of private markets investment vehicles preferred but not essential.
  • Ability to work across jurisdictions and time-zones with different cultures and negotiating styles.
  • A high degree of attention to detail and accuracy in work completed.
  • Highly organized with strong project management skills and exceptional responsiveness.
  • Ability to manage and prioritize multiple workstreams and transactions at once.
  • Ability to work well in a team and to review and supervise junior team members’ work.
  • High level of professionalism, confidentiality, discretion and judgement.
  • Excellent written and verbal communication skills.
  • Computer literacy, including excellent working knowledge of Microsoft applications such as Excel, Word and PowerPoint.
  • Ability to work to tight deadlines/under pressure.

Formal Education and Professional and/or Technical Qualifications 

  • Bachelor’s degree: Degree required, preferably business or law related.

This role is paying in the region of $110,000 per annum. Alongside Pantheon’s wider employment benefits.
